Terms of Use and Services
The terms on which this website may be used and on which we accept a matter. They apply to every visitor and to every client.
In force since 28 August 2026. This page carries the version applicable today.
1. Who we are, and what these terms cover
1.1 This website and the services described on it are provided by Lo On Shing Consultants Limited (盧安誠顧問有限公司), a limited company incorporated in Hong Kong SAR under number 2229760 (Business Registration number 64679960), registered office 806, Capitol Centre, 5–19 Jardine’s Bazaar, Causeway Bay, Hong Kong SAR (“we”, “us”, “the firm”).
1.2 These terms govern your use of the website, the online questionnaire and the client space, and they form part of every engagement we accept. Where an engagement proposal says something different, the proposal prevails for that matter.
1.3 By using this website you accept these terms. If you do not accept them, do not use it.
2. What we do, and what we do not do
2.1 We provide consulting services dedicated to foreign direct investment in Mainland China, Hong Kong, Taiwan and Vietnam: feasibility study, choice of structure, company formation, preparation and filing of the deeds and administrative forms, coordination of the local professionals, corporate secretarial follow-up, and assistance with work permits and bank account opening.
2.2 We are not a law firm, an accounting firm or an audit firm. Regulated services — legal advice, notarial acts, audit, statutory accounting, licensed trust and company services — are performed by the qualified professionals of our network, each in their own name, under their own professional rules, insurance and responsibility. We say so when we introduce one, and the engagement with that professional is theirs and yours.
2.3 Company search and corporate intelligence are provided through CCSS — Greater China Company Search Services, at www.china-company-search.com, under its own terms.
3. The content of this website
3.1 The country pages, briefing notes and monthly news are general information, prepared with care and dated. They are not legal, tax or investment advice, they are not adapted to any particular situation, and they must not be relied upon as a substitute for advice on your own facts.
3.2 Law and administrative practice in these jurisdictions change often, and sometimes without notice. A page correct when written may cease to be so. Where a date of effect matters, we state it.
3.3 You may consult, print and circulate our briefing notes for your own use. You may not reproduce, extract or reuse the content of this website for commercial purposes without our prior written consent.
4. The questionnaire and the study of a project
4.1 Completing the online questionnaire does not engage either of us. It opens a study.
4.2 No supporting document is asked for at that stage. We acknowledge receipt from info@loonshing-consultants.hk and come back to you within an average of 10 working days with our reading of the project and the step we propose.
4.3 We then carry out our client due diligence. At the end of it we either propose an engagement or decline the matter. We are free to decline, and we do not have to give reasons; where we decline, nothing is due, the file is archived, and the personal data communicated is destroyed within six months.
5. Engagement
5.1 A matter is engaged by an engagement proposal signed by both parties, which states the scope of the work, what is included and what is not, the fee, the payment terms and the disbursements to be expected. Signature is by DocuSign or in such other form as we agree.
5.2 Depending on the project, either full payment or a partial advance payment is payable on engagement, as the proposal provides. Work begins when the payment is received, and the client space opens at that point. See Pricing, Payment and Refunds.
5.3 The scope is what the proposal says. Anything outside it is quoted separately before it is begun; we do not perform unrequested work and invoice it afterwards.
5.4 Payments made online by card (including Apple Pay, Google Pay and Link) carry a processing fee of 2.40% of the amount paid, added to the invoice at the time of payment by our payment service provider. Other means of payment offered on the invoice carry no processing fee.
6. What we expect of you
6.1 To give us accurate, complete and lawful information, and the documents the receiving authority requires, in the form it requires — including notarised and legalised or apostilled copies where they are called for.
6.2 To tell us promptly when something changes: an address, an officer, a shareholding, a plan. A filing made on superseded facts has to be redone.
6.3 Not to ask us to state to an authority anything you know to be inaccurate. We will not do it, and we will end the engagement rather than do it.
6.4 To answer our client due diligence requests. We are not permitted to act without them.
7. The client space
7.1 Access is personal. Every sign-in requires a password and a second factor. You are responsible for keeping them, and for telling us at once if you think someone else has them.
7.2 Signing in opens the matters that have been granted to you, and nothing else. Every consultation and every action is recorded.
7.3 You may not attempt to access a matter that has not been granted to you, to circumvent the authentication, to extract the content of the space by automated means, or to disrupt its operation.
7.4 We may suspend an account where these terms are breached, or where security requires it. We will say so and say why.
8. Documents, deeds and translations
8.1 The deeds we draft are prepared for the matter and for the authority that will receive them. They are yours once the engagement is paid; they are not a precedent bank for other matters.
8.2 Administrative forms are never altered. Where a form is published by an authority, we complete it as published; we do not modify it, and we do not produce a redrawn version of it.
8.3 Where a form or a deed is written in Chinese or Vietnamese, we provide a machine translation so that you can read what you are asked to sign. It is marked as such, in the language you choose, and the original is appended behind it. In case of discrepancy the original governs, and it is the original that is filed.
9. Time frames
Any period we indicate is an estimate drawn from observed practice. It is indicative and not of the essence. Registrations, licences and account openings are decided by authorities and banks, in the exercise of their own discretion. See Limitations of Liability.
10. Confidentiality
10.1 We treat everything you tell us as confidential, and we disclose it only to those the matter requires — the authority, the local professional, the bank — and to those the law requires.
10.2 The duty survives the end of the engagement.
10.3 It does not prevent us from making a disclosure that anti-money-laundering, counter-terrorist-financing and anti-tax-fraud (AML-FT) law requires, and such a disclosure may, in some jurisdictions, be one we are forbidden to tell you about.
11. Personal data
11.1 How we handle personal data is set out in the Privacy Policy and, for individuals named in a matter without being our client, in the General Public Notice. Both form part of these terms.
11.2 Where your file is held. The documents of your matter and its archives are held on cloud infrastructure, part of which sits outside Hong Kong. That infrastructure remains under our exclusive control: we alone decide who is granted access, and we alone hold the means of decryption. Our hosting providers store the files on our instructions, have no right of access to their content, and are bound by contract to security and confidentiality obligations equivalent to our own.
11.3 By engaging us you consent to the processing of the professional and personal data concerning you, and to that data being transferred and held outside Hong Kong, for the sole purposes of performing the engagement and of keeping the file under the most secure conditions available to us. Only what those purposes require is transferred, and it is put to no other use.
11.4 Where you give us data about someone else — an officer, a shareholder, a beneficial owner, a spouse — you confirm that you are entitled to do so, and you undertake to tell them that you have and to point them to our General Public Notice.
12. Conflicts of interest
We check for conflicts before accepting a matter. Where one appears afterwards, we tell you and propose how to deal with it; where it cannot be dealt with, we withdraw.
13. Ending an engagement
13.1 You may end an engagement at any time in writing. We account for the work done and the disbursements committed.
13.2 We may end an engagement where an invoice remains unpaid, where our due diligence obligations are not satisfied, where we are asked to do something we consider improper, or where the relationship of confidence has ceased. We give reasonable notice and hand over what is yours.
13.3 Ending an engagement does not affect anything already filed with an authority.
14. Liability
Our liability is limited as set out in Limitations of Liability, which forms part of these terms.
15. Changes to these terms
We may amend these terms. The version in force is the one published on this page, and it carries its date. An amendment does not alter the terms of a matter already engaged.
16. Governing law and jurisdiction
16.1 These terms, and any engagement to which they apply, are governed by the laws of the Hong Kong Special Administrative Region.
16.2 The courts of Hong Kong SAR have exclusive jurisdiction, save where a mandatory rule of your own country of residence gives you the benefit of another forum.
