Limitations of Liability
What we undertake, what we cannot guarantee, and where our responsibility ends. Extracted from the Terms of Use, and to be read with them.
In force since 28 August 2026. This page carries the version applicable today.
These limitations are extracted from our Terms of Use and form part of them. They are set out separately because they matter, and because a clause that matters should not have to be hunted for.
1. What we undertake
1.1 We undertake to perform our services with the care and diligence of a professional consultancy, to devote to each matter the means described in the engagement proposal, and to keep you informed of anything that materially affects your project.
1.2 Our engagement is an obligation of means, not of result. We cannot and do not guarantee that a registration will be granted, that an authority will take a particular view, or that a filing will be processed within any given period.
2. Decisions of authorities and third parties
2.1 Company registration, licensing, work permits, visas and bank account opening are decided by public authorities and by banks, in the exercise of their own discretion and under their own rules. We prepare, we advise, we accompany; we do not decide, and no one may bind these decisions in advance.
2.2 We are not liable for a refusal, a request for further documents, a change of administrative practice, a delay at a registry or a bank, or the closure or suspension of an account, where these arise from the decision of a third party rather than from a failure on our part.
3. Time frames
3.1 Any period we indicate — for an incorporation, a licence, a permit — is an estimate drawn from observed practice. It is indicative only and is not of the essence.
3.2 Delays caused by an authority, by a bank, by a correspondent, by a public holiday, by the late delivery of a document you were to provide, or by the notarisation and legalisation chain in your own country, are outside our control.
4. Information you provide
4.1 Our work rests on the information and documents you give us. We verify them for internal consistency and for the requirements of the receiving authority; we do not audit them and we cannot establish the truth of a statement you make to us.
4.2 You are responsible for the accuracy, completeness and lawfulness of what you provide, and for telling us promptly when something changes. A registration obtained on the basis of inaccurate information may be annulled by the authority, and the consequences of that fall outside our liability.
5. Regulated services performed by third parties
5.1 Where a matter requires legal advice, notarisation, audit, statutory accounting or licensed trust and company services, those services are performed by the qualified professionals of our network, each acting under their own professional rules, insurance and responsibility.
5.2 We select those professionals with care and coordinate their work, but we do not answer for their advice or their acts. Your recourse in respect of a regulated service lies against the professional who performed it.
6. Content published on this website
6.1 The country pages, briefing notes and monthly news published here are general information, prepared with care and dated. They are not advice, they are not adapted to your situation, and the law they describe changes.
6.2 We accept no liability for a decision taken on the basis of a published page rather than on the basis of advice given on your own facts.
7. Translations
7.1 Machine translations of administrative forms and of documents drafted in Chinese or Vietnamese are provided so that you may read what you are asked to sign. They are marked as machine translations and are for information only.
7.2 In case of any discrepancy, the original governs, and it is the original that is filed. We accept no liability arising from reliance on a machine translation in preference to the original.
8. Extent of our liability
8.1 Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any liability which cannot lawfully be excluded.
8.2 Subject to clause 8.1, we are not liable for indirect or consequential loss, loss of profit, loss of opportunity, loss of anticipated savings, or loss of data.
8.3 Subject to clause 8.1, our aggregate liability in respect of a matter is limited to the fees actually paid to us for that matter.
9. Force majeure
We are not liable for a failure or delay caused by an event beyond our reasonable control, including the closure or unavailability of a public authority, a change in law or administrative practice, an interruption of telecommunications, a natural event, or a public health measure.
