Who watches your WFOE’s general manager?
The supervisor of a wholly foreign-owned enterprise under the 2023 Company Law — the powers of the office, who to appoint, what the articles should provide and the liability that comes with it

Most WFOEs have a supervisor (监事) because the incorporation forms asked for one. The name is often chosen at the last minute: a relative, a local employee, a colleague of the general manager. Yet the supervisor is the only office that Chinese law empowers to check the books and challenge the management from inside the company. For a foreign parent thousands of kilometres away, it is a lever worth using. This note explains why, what the supervisor can do, who should hold the office, what the articles of association should provide and what the person appointed takes on.
Why should a foreign parent care?

In most WFOEs, the general manager runs the business day to day and is often the legal representative as well. He or she holds the company seals, signs the contracts and controls the bank accounts. The parent sees the company through the reports the general manager prepares.
The supervisor is the parent’s independent line of sight. The law gives the office its own powers, its own budget and its own right to act in court. Those powers work only if the person appointed answers to the parent, not to the general manager.
Can a WFOE do without one, and should it?
A limited liability company of small size or with few shareholders may have a single supervisor instead of a board of supervisors; if all the shareholders agree, it may have none (Company Law, art. 83). A WFOE with one shareholder meets that condition by definition.
A company may also replace the supervisor with an audit committee of its board of directors (art. 69). This route needs a board: a WFOE run by a single director (art. 75) cannot take it.
Dropping the supervisor saves a name on a form, but deprives the company of the only office that can investigate the management at its expense. For most foreign parents, a single supervisor chosen by the parent is the better choice.
What can the supervisor do against a local general manager?
| Power | What it allows | Company Law |
|---|---|---|
| Check the finances | Inspect the company’s financial affairs at any time. | Art. 78 |
| Require reports | Directors and senior managers must report in writing on their management, provide the information asked for and not obstruct the supervisor. | Art. 80 |
| Attend board meetings | Sit in on the board and question or comment on its decisions. | Art. 79 |
| Investigate | Look into operations that seem abnormal and hire an accounting firm to help, at the company’s cost. | Arts. 79 and 82 |
| Demand correction | Require a director or manager who harms the company to put it right, and propose his or her removal. | Art. 78 |
| Sue | Bring proceedings against directors and senior managers who cause the company loss, at the shareholder’s written request. | Arts. 78 and 189 |
A WFOE has no shareholders’ meeting: the parent, as sole shareholder, takes its decisions in writing (art. 60) and approves the supervisor’s report (art. 59). If the supervisor refuses to sue, or has not acted within 30 days of the parent’s written request, the parent may bring the action in its own name (art. 189). With a supervisor it appointed, it rarely needs to.
Who should be appointed, and who must not?
The Company Law excludes three groups. Directors and senior managers of the company — the general manager, the deputy managers and the finance officer (arts. 76 and 265). Persons disqualified by article 178, among them anyone on the courts’ list of dishonest judgment debtors (失信被执行人) for a large unpaid personal debt; an appointment in breach is void. Persons without full civil capacity (art. 178).
The Company Law sets no residence or nationality requirement for the supervisor. A finance officer of the group based abroad can hold the office, subject to the identity documents the registration authority asks for.
The right profile reads Chinese financial statements, is independent of the general manager and can be reached. A local employee who reports to the general manager does not fit: he or she cannot check the person who sets his or her salary. The term is three years, renewable, and a supervisor whose term has expired stays in office until a successor takes up the post (art. 77).
What should the articles of association provide?
The articles may add to the supervisor’s powers (art. 78). In a WFOE, four clauses are worth writing in.
| Clause | Why it matters |
|---|---|
| A regular report from the general manager | A fixed list of documents — bank statements, management accounts, contracts above a set amount — sent to the supervisor at fixed dates. |
| The auditor | The articles may give the supervisor the decision to appoint or dismiss the auditor (art. 215). |
| A budget for outside advisers | Accountants and lawyers paid by the company, as article 82 already provides, with an amount the general manager cannot refuse. |
| The language of reports and minutes | So that the parent can read them without waiting for a translation. |
What liability does the supervisor bear?
The office is not honorary. The supervisor owes the company duties of loyalty and diligence (art. 180) and is bound by the same prohibitions as directors and managers: no misappropriation, no secret commissions, no diversion of business opportunities (arts. 181 to 184).
The supervisor answers for losses caused to the company in breach of the law or of the articles (art. 188). A supervisor responsible for a shareholder’s withdrawal of capital is jointly liable with that shareholder (art. 53); one responsible for an unlawful distribution of profits or an unlawful capital reduction is liable for the resulting loss (arts. 211 and 226). The person approached should be told this before accepting.
The law gives the supervisor real powers; the parent decides whether they are used. Appoint someone who answers to you, write the reporting into the articles, and keep the term and the filing up to date.
